Purpose: Creation of a Joint Purchasing Department in order to centralize all of the purchasing
for the parties. (P. 1-2)

Organization: Joint agreement. Governed by Joint Purchasing Board. (P. 1) Joint supply: Both parties contribute equally to the running of the new department and both make use of its services.
Duration: 3 years. To be automatically renewed unless one party gives written notice a year in
advance. (P. 1)
Financing: Each party contributes 50% of the budget of the department. Budget submitted to
councils of City and County. Controller of City responsible for paying expenses of department
and will bill County quarterly for its share. (P. 2)
Administration: Need for work-up time requires that Board prepare a year's implementation
plan which indicates the staged implementation of the purchasing effort (mentioned in cover
letter). Joint Governing Board to consist of 4 persons: 2 appointed by Board of County
Commissioners and 2 by Mayor of City of Evansville. Board shall determine policies, supervise
and administer the operation of the department, and employ such persons as are necessary. Board
will employ a Purchasing Agent who will be in charge. Board may adopt rules and regulations
for department. (Pp. 1-2) All goods, materials, etc. shall be purchased through department by all
governmental units unless board directs otherwise. (P. 2)
Property: Any transfer of property will be cost accounted and title of property will remain with
transferring party. Upon termination of agreement: property is returned or party is credited with value
of property less depreciation; one party may buy interest of other party in the properties; transferred
properties will first be appraised by 3 disinterested appraisers appointed by Court of County; City
will establish procedure for sale of surplus property. New property purchased will be jointly owned.

to the Joint Purchasing Department. (Pp. 3-4)
Termination: Occurs automatically if one party fails to contribute the necessary financing. (P. 1)
