Topic: Vehicle repair and fuel purchases

Purpose: To establish the terms and conditions by which the City will provide vehicle repair services and fuel purchases to IUPUI. (P. 1)

Function: Support functions, Fleet management/vehicle maintenance, All other vehicles

Type: Collaboration

Organization: Joint agreement. No governing board. Single supply: City supplies vehicle maintenance services to IUPUI; IUPUI pays fees for these services.

Duration: From the date parties execute it through, and including, December 31, 1995. (P. 1) Agreement may be renewed for another term by written agreement of the parties. (P. 4)

Services delivered: City agrees to perform the following services on IUPUI's behalf: Vehicle repair and fuel purchases as described in exhibit which is attached (not found in our copy). A listing of sites at which IUPUI may purchase fuel is attached as an exhibit (also not found in our copy). City warrants that it will comply with all statutes governing public bids. (P. 1) City warrants its labor for 6 months from the date of service. Manufacturers' warranties shall apply to parts used in City's performance of repair service. (P. 2)

Financing: IUPUI agrees to pay for the services and fuel purchases in accordance with fees and charges specified in (another) exhibit (not included). City shall submit an itemized claim at least quarterly for services and charges and shall provide any other necessary information to IUPUI. IUPUI shall pay City within 30 days of receipt of claim form. (P. 2)

Administration: All information, data, and reports that are existing, available and necessary for the carrying out of City's services shall be furnished to City without charge. (P. 2)

Liability: City agrees to hold harmless IUPUI and its agents, etc., from any and all claims, liabilities, etc., arising out of any negligent act or omission by City or its agents. (Pp. 2-3)

Termination: Agreement may be terminated by either party upon 30 days written notice sent by certified mail to the other party (addresses are specified). (P. 3)
