Topic: Purchase and sharing of computer services

Purpose: To provide for the purchase, management, operation, and maintenance of computer
hardware and software ("computer system") by County, and provide for purchase by the City of
computer services generated by the computer system. (P. 1)

Organization: Joint agreement. No governing board. Single supply: County will purchase a computer system, provide space for the system (in the Huntington County Court House), and hire the personnel; City will pay for part of cost of system. (P. 1-2)
Duration: 5 years starting January 1989, and year to year thereafter unless notice of termination is
given 60 days prior to any anniversary. (P. 1)
Staffing and supplying: County will employ a computer specialist to run the system. Wage rate,
benefits, and length of work week as pertain to specialist are mentioned. (P. 1)
Financing: City shall pay to County: A). 25% of hourly rate and benefits of computer specialist from
the date of his/her employment until date that system is functional and available for use by City. B).
50% of hourly rate and benefits of specialist from time system is available for use until termination
of agreement. C). Amounts set forth in Exhibit "A". Includes 40% of cost of initial acquisition and
installation of equipment that is mutually beneficial, and 100% of cost of equipment that is beneficial
to City only. Total amount due from City and payment schedule are included. D). 40% of
maintenance contract for that portion of system that is of mutual benefit and 100% of maintenance
contract for equipment that benefits City only. Amounts payable on July 1 and January 1. (Pp. 2-3)
Administration: County entered into agreement with private firm to buy computer system.
Agreement includes right of City to use the system. (P. 1) City and County have equal access to
system and specialist. (P. 2) Additions of equipment or personnel shall be put in writing, as will any
additional payments necessary between the parties. Disposition of equipment in the event of
termination of agreement shall also be in writing. (P. 2)
Property: City and County are free to improve system to meet their special needs. Additions are
the property of the party acquiring them. (P. 1) Upon termination of agreement, computer system
shall be disposed of as follows: A). City and County shall agree on value of system. If agreement
cannot be reached, each party will hire an appraiser who will value the system; average of these 2
appraisals will be the established value for purposes of disposal. B). County has option of keeping
system by paying City amount equal to the percentage of the original purchase price contributed by
City multiplied by the established value. Payment made in cash or within 3 years. C). After County
option, City has option of retaining system by paying County in same fashion as County would pay
City. (P. 2)
Termination: May not occur until January 1, 1994, except as noted below, or by mutual written
consent. After January 1, 1994, termination may occur if either party provides written notice to the
other 60 days prior to the anniversary date. (P. 2) Termination possible in the event of default for
failure to appropriate funds. (P. 2)
