Topic: Lease agreement and maintenance of a parking garage

Purpose: For City to lease certain land to County and for County to assume responsibility for
maintenance and administration of shared parking garage and surrounding lands.

Type: Collaboration
Organization: Joint agreement. No governing board except in the case of disputes. Then, Board of
Arbitration of Allen Superior Court will govern. Joint supply: City leases land to County. County
will maintain parking garage and surrounding lands. County will also provide City with office space.
Services delivered: City leases to County, for a period of 5 years, with an option to extend lease for
2 additional periods of 5 years, certain real estate within the City of Fort Wayne. (P. 1) This real
estate is an area of a few blocks in the vicinity of the City-County Building ("Building"). The exact
boundaries and locations of these parcels of land are given (Pp. 2-4). The real estate upon which
Building is situated has already been deeded to the County. (P. 3) County shall operate and maintain,
in conjunction with the operation and maintenance of the Building, the parking garage and parking
area, and surrounding land on this site. (P. 4)
Financing: Compensation to City shall be $1 and other consideration, such as the leasing of space
to City in the City-County Building by the County. (P. 1) Each party shall pay its share of the cost
of the maintenance and operation of the parking garage and parking and walk areas in proportion to
the space in the Building occupied by each party. It is agreed at this time that County occupies 42%
of the space in Building, Utilities occupies 16%, and City occupies 41.4%. (P. 4)
Administration: County shall follow generally accepted accounting procedures in the keeping of all records in reference to the maintenance of the parking garage and the surrounding lands. Such records shall be open to inspection for inspection by City and Utilities at all times. (Pp. 4-5)
Parties agree that all disputes arising between them pursuant to this agreement which cannot be settled, shall be arbitrated by a Board of Arbitration consisting of the incumbent judges of Allen Superior Court of Allen County. Board shall establish the rules, regulations, and procedures to be followed for the presentation of a matter to the said board. When board has passed upon a matter coming before it, such decision shall be binding upon the parties. (P. 5)
The assignment of parking spaces shall be allocated in a fair and impartial manner, as much
as possible, in relation to the total occupancies of the building by the various governmental agencies,
and that such assignment procedures and policing thereof shall be the full responsibility of the
